By accessing or using LegalTakedowns services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and LegalTakedowns LLC ("Company," "we," "us," or "our").

2. Description of Services

LegalTakedowns provides intellectual property protection services, including but not limited to:

• DMCA takedown notice preparation and submission
• Copyright infringement removal services
• Trademark enforcement assistance
• Content monitoring and detection
• Legal consultation and guidance

We act as your authorized agent for the purpose of submitting takedown notices and enforcement communications on your behalf. We are not a law firm and do not provide legal advice.

3. Eligibility

To use our services, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal authority to enter into binding agreements
• Own or have authorization to act on behalf of the intellectual property rights holder
• Provide accurate and complete information
• Not be prohibited from using our services under applicable law

4. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information as needed
• Keep your password confidential and secure
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activities under your account

5. Fees and Payment

Service Fees: Service fees are discussed during consultation and vary based on the scope of work. Contact us for a personalized quote. We reserve the right to adjust fees with 30 days notice to existing clients.

Payment: Fees are charged in advance on a monthly or annual basis. Payment is due upon agreement. We accept major credit cards and other payment methods as indicated.

Refunds: New customers may request a full refund within 30 days of initial purchase. After 30 days, fees are non-refundable except as required by law.

6. Client Responsibilities

You agree to:

• Only submit takedown requests for content you own or are authorized to protect
• Provide accurate documentation of ownership
• Not submit fraudulent or bad-faith claims
• Respond promptly to our requests for information
• Comply with all applicable laws regarding intellectual property

7. Representations and Warranties

By using our services, you represent and warrant that:

• You own or control the rights to the content for which you seek protection
• Your takedown requests are made in good faith
• You have considered fair use and other legal defenses before submitting requests
• All information you provide is accurate and complete

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALTAKEDOWNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless LegalTakedowns and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms or engage in fraudulent activity.

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
